Business Partner Terms of Service

1. About Tova

Tova is a drop culture marketplace platform operated by Tova (incorporated in England & Wales). We provide food businesses — restaurants, bakeries, cafes, and home kitchens — with tools to create and manage time-bound, limited-quantity food drops for consumer pickup or dine-in.

Tova is a marketplace only. We are a technology platform connecting your business with consumers. We are not a party to the transaction between you and your customers.

2. Eligibility

To list on Tova as a business partner you must:

  • Operate a legitimate food business — restaurant, bakery, cafe, cloud kitchen, or home kitchen
  • Hold all required licences, permits, and registrations to legally sell food in your operating jurisdiction
  • Comply with applicable food safety and hygiene standards
  • Provide accurate business information during registration
  • Have a valid point of contact (mobile number and email) for operational communications

Business partners are strongly encouraged to hold appropriate public liability and food safety insurance.

3. Listing & Drop Obligations

3.1 Accuracy

You are solely responsible for the accuracy of all listings, including: food name and description; allergen and ingredient information; quantity available; pickup window; pickup location; price.

3.2 Commitment to Fulfil

When you post a drop and a consumer claims it, you are making a commitment to have that item available for the duration of the published pickup window.

3.3 Business Cancellations

If you need to cancel a drop after claims have been made, you must do so as early as possible via the platform. Tova will notify affected consumers. Repeated last-minute cancellations may result in account review or suspension.

4. Food Safety & Allergen Responsibility

You are solely and entirely responsible for the safety, quality, and hygiene of all food you sell through Tova — and for providing accurate and complete allergen information on every listing. Tova does not inspect, verify, or guarantee the safety or quality of food sold through the platform.

You indemnify Tova against any claims, losses, or liability arising from the food you sell, including allergic reactions, foodborne illness, or food safety violations.

You are solely responsible for:

  • The safety, quality, and hygiene of all food you sell through Tova
  • Providing accurate and complete allergen information on every listing
  • Compliance with all applicable food safety legislation
  • The handling, storage, and preparation of food in accordance with food safety standards

5. Pickup Windows & Late Arrivals

5.1 Pickup Window

Each drop must have a clearly defined pickup window. You are only obligated to hold a claim during the published pickup window.

5.2 Late Arrivals

If a consumer arrives after the pickup window has closed, you have sole discretion over whether to honour their claim. If you decline, Tova will record the outcome as a consumer no-show.

6. Platform Fees & Payments

6.1 Pilot Phase Commission (Current)

5% commission during pilot (first 3 months)

During Tova's pilot phase (the first 3 months from your onboarding date), a platform commission of 5% applies to the gross value of each drop sold. This rate is fixed for the duration of your pilot period. No fees are charged to consumers. Digital payment processing is not yet active — commission tracking is recorded on the platform for reconciliation purposes.

6.2 Post-Pilot Commission

15% standard commission after pilot — 30 days notice

Following the pilot phase (after 3 months), the standard platform commission of 15% of gross drop value will apply. The transition will be communicated with at least 30 days notice before it takes effect.

6.3 Acceptance of Updated Fee Terms

If you do not accept updated commercial terms within the notice period, your account will be suspended until acceptance is confirmed.

6.4 Fee Disputes

If you believe a commission has been incorrectly applied, notify us at support@tova.global within 14 days of the transaction.

6.5 Off-Platform Transactions

You must not direct consumers away from Tova to circumvent platform commission. Violations may result in immediate account suspension.

7. Business Conduct & Data Obligations

As a Tova business partner you agree to:

  • Treat consumers with professionalism and courtesy
  • Honour all valid claims made within the published pickup window
  • Keep your business profile, listing information, and contact details accurate
  • Respond to Tova's operational team within 2 business days
  • Handle consumer data accessed through the platform in compliance with applicable data protection law
  • Not retain consumer personal data beyond the fulfilment of the relevant claim

8. Moderation & Account Actions

Tova reserves the right to remove listings, suspend accounts, or permanently remove a business for serious or repeated violations. Where possible we will notify you and allow 48 hours to respond before a final decision.

To appeal a decision, contact support@tova.global within 7 days.

9. Intellectual Property

By uploading content to Tova, you grant Tova a non-exclusive, royalty-free licence to display and use that content on the platform and in marketing materials. You retain full ownership. This licence ends when you remove the content or close your account.

10. Limitation of Liability

Tova's total liability to your business shall not exceed the total platform commissions paid in the 3 months preceding the event giving rise to the claim.

11. Force Majeure

Neither party shall be liable for failure or delay resulting from circumstances beyond reasonable control.

12. Changes to These Terms

Material changes — including commission rate changes — will be communicated with at least 30 days notice.

13. Governing Law & Disputes

These Terms are governed by the laws of England & Wales.
